Introduction

These Terms and Conditions ("Terms") form a legally binding agreement between you ("you" or "User") and q101.org regarding your use of our website, interfaces, tools, and protocols (collectively, the "Platform"). By accessing or using any part of the Platform, you agree to these Terms and Conditions set forth herein, including our Privacy Policy which is hereby incorporated in these terms by reference. If you do not agree, do not use the Platform. If you are using the Platform on behalf of your organization, that organization accepts these terms.

These terms may be modified, changed, supplemented or updated by Q101 Limited ("we", "us", or "our") at its sole discretion at any time without advance notice. We recommend visiting the Terms and Conditions from time to time during your use of the Platform. Your continued use of the Platform will confirm and constitute your acceptance of these terms as modified, changed, supplemented or updated by us. If you do not agree to such revised terms and conditions, you must stop using the Platform.

1. About q101.org

1.1 q101.org is a decentralized platform that allows users to discover, explore, and interact with digital assets and blockchain-based protocols. We do not provide custody, exchange services, or financial intermediation. Your wallet and private keys remain entirely under your control.

1.1.1 q101.org is not a bank, broker-dealer, financial institution, financial advisor or provider of custodial or exchange services. We do not hold, maintain, control or have access to user funds, wallets, or private keys. We do not intermediate, process or execute transactions on behalf of users and do not offer any financial services or products. All interactions with digital assets on the Platform are initiated and managed entirely by users at their own risk and discretion.

1.2 The Platform is operated by Q101 Limited, a company incorporated in the British Virgin Islands.

2. Eligibility

2.1 You must be at least 18 years old and legally able to enter into agreement(s) to use the Platform. By accessing or using the Platform, you confirm that you meet these requirements. You are solely responsible for complying with applicable laws in your jurisdiction.

2.2 q101.org may restrict or block access to the Platform from certain regions or jurisdictions where such access may be prohibited by applicable laws or sanctions.

2.3. q101.org reserves the right to restrict or terminate access to the Platform for users subject to sanctions or applicable legal prohibitions at any time without any prior notice to such users.

3. Self-Custody and Use of Wallets

3.1. When you begin using the Platform, you hereby agree and understand that the Platform is neither the provider nor the intermediary of digital wallets. When using such wallets, you may enter into agreement with respective digital wallet provider. This means that we are not responsible for your use of wallet or for any service, information, software or hardware provided to you by wallet provider or any other third party. This wallet is fully controlled by you, and q101.org does not store, access, or manage your private keys, recovery phrase, or any wallet credentials.

3.2. All transactions made through the Platform are initiated, authorized and executed solely by you using your wallet, if any. You are responsible for reviewing each transaction before confirming it. Once submitted to the blockchain, transactions are final and cannot be reversed or altered by q101.org.

3.3. q101.org does not act as a custodian, intermediary, or transaction processor. We do not hold, safeguard, transfer, manage, or have any access to your assets. We do not have the ability to access your assets, interact with smart contracts on your behalf, or recover lost funds.

3.4. You are solely responsible for keeping your wallet credentials and recovery information secure. Loss of access to your wallet may result in permanent loss of your assets as q101.org cannot recover, access, or restore your wallet.

3.5. q101.org will not be liable for any loss arising from failure to back up wallet credentials, theft of private keys, user error, or any security breach affecting your device or wallet. We do not have access to your wallet and cannot restore it.

4. Use of the Platform

4.1. You must use the Platform in a lawful, respectful, and responsible manner. Any activity that harms, disrupts, or undermines the intended purpose of the Platform is strictly prohibited. If you engage in any prohibited conduct, q101.org may restrict access to your account.

4.2. You agree not to:

• Use the Platform for any unlawful, fraudulent, or malicious purposes;
• Upload, deploy, or share any code, bot, script, or tool intended to harm, disrupt, or exploit the Platform's functionality or security;
• Attempt to exploit or abuse any vulnerability, bug, or unintended behavior in the Platform's logic, interface, or smart contract integrations;
• Interact with smart contracts or protocols in ways that damage, manipulate, or bypass intended behavior;
• Impersonate others or misrepresent your affiliation with any person or entity;
• Manipulate prices, liquidity, voting, or rankings through artificial activity;
• Operate multiple accounts to simulate coordination or gain unfair advantage;
• Engage in spam, brigading, harassment, or other abusive behavior;
• Violate intellectual property, privacy, or other third-party rights;
• Interact with sanctioned smart contract destinations or addresses;
• Share content that is illegal, harmful, or abusive;
• Circumvent geoblocking or access restrictions imposed by q101.org due to regulatory requirements.

4.3. All content you share or interactions you have on the Platform must comply with our guidelines or notices, which promote a safe, inclusive, and respectful environment for everyone.

5. Third-Party Protocols and Risks

5.1. The Platform may interface with third-party protocols and blockchain applications. These are not operated, owned or controlled by q101.org.

5.2. q101.org does not audit or endorse these third-party protocols or tokens. Their rules may change without notice, and transactions may be irreversible or subject to bugs and exploits. You are solely responsible for how you interact with them.

5.3. q101.org makes no representations about the quality, suitability, or legality of any third-party smart contract or service. You should conduct your own due diligence before interacting with any blockchain application.

5.4. Forks, protocol changes, or exploits in third-party contracts may materially impact your assets. q101.org assumes no responsibility for losses arising from such changes.

6. No Financial, Legal, or Tax Advice

6.1. q101.org may provide access to Web3 tools and information for general informational purposes only. We do not offer investment advice, financial recommendations, legal counsel, or tax guidance.

6.2. Nothing on the Platform should be interpreted as a recommendation to engage in any activity involving digital assets. You are solely responsible for evaluating your own circumstances and risks.

6.3. You are also responsible for determining whether, and to what extent, any taxes apply to your use of the Platform. q101.org does not calculate, report, or remit taxes on your behalf. You should consult independent advisors if needed.

6.4. You represent and warrant that you will comply with all applicable tax obligations in your jurisdiction and that q101.org bears no responsibility for your reporting or payment obligations.

6.5. Any analysis, news, or content presented on the Platform is for general informational purposes only and does not constitute financial, legal, or investment advice. Such content is not tailored to your personal financial circumstances and should not be considered a financial promotion, solicitation, or recommendation to buy, sell, or hold any digital asset or to engage in any transaction. You are solely responsible for your decisions and should consult a qualified advisor if you require personal guidance.

7. Intellectual Property

7.1. All content available on the Platform, including but not limited to the q101.org brand, designs, interfaces, text, graphics, software code, and other materials, is owned by or licensed to q101.org and protected by applicable intellectual property laws.

7.2. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your personal, non-commercial use, in accordance with these Terms.

7.3. You may not copy, reproduce, distribute, modify, adapt, create derivative works from, reverse engineer, decompile, or attempt to extract the source code of any part of the Platform. You also may not use any trademarks, logos, or branding displayed on the Platform without prior written permission from q101.org.

7.4. If you submit or post content via the Platform (e.g. comments, feedback, public profile details), you retain any rights you have in that content, but you grant q101.org a non-exclusive, worldwide, royalty-free, perpetual and irrevocable license to use, display, reproduce, or distribute that content as reasonably necessary to operate the Platform.

7.5. The Platform may display or link to third-party content or software. All such third-party intellectual property remains the property of its respective owners. q101.org does not claim ownership of third-party content and makes no warranties regarding its accuracy or use.

7.6. q101.org reserves the right to remove any content posted on the Platform that infringes intellectual property rights or violates applicable laws. Repeat infringers may have access to the Platform revoked or restricted at any time without advance notice.

8. Disclaimers

8.1. THE PLATFORM AND ALL INFORMATION, PRODUCTS AND SERVICES PROVIDED THROUGH THE PLATFORM ARE PROVIDED "AS IS" AND ON AN "AS AVAILABLE" BASIS WITHOUT ANY REPRESENTATIONS, WARRANTIES, PROMISES OR GUARANTEES WHATSOEVER OF ANY KIND INCLUDING, WITHOUT LIMITATION, ANY REPRESENTATIONS, WARRANTIES, PROMISES OR GUARANTEES REGARDING THE ACCURACY, CURRENCY, COMPLETENESS, ADEQUACY, AVAILABILITY, SUITABILITY OR OPERATION OF THIS WEBSITE, ANY PRODUCTS OR SERVICES WE MAY PROVIDE THROUGH IT OR THE INFORMATION OR MATERIAL IT CONTAINS.

8.2. YOUR USE IS AT YOUR OWN RISK.

8.3. EACH OF q101.org PARTIES DISCLAIM ALL REPRESENTATIONS AND WARRANTIES, WHETHER EXPRESS, IMPLIED OR STATUTORY, WITH REGARD TO THE FOREGOING, INCLUDING, WITHOUT LIMITATION: (A) ANY WARRANTY WITH RESPECT TO THE CONTENT, INFORMATION, DATA, SERVICES, AVAILABILITY, UNINTERRUPTED ACCESS, OR SERVICES OR PRODUCTS PROVIDED THROUGH OR IN CONNECTION WITH THE PLATFORM; (B) ANY WARRANTIES THAT THE PLATFORM OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES, WORMS, TROJAN HORSES OR OTHER HARMFUL COMPONENTS; (C) ANY WARRANTIES THAT THE PLATFORM, ITS CONTENT AND ANY SERVICES OR PRODUCTS PROVIDED THROUGH IT ARE ERROR-FREE OR THAT DEFECTS IN THE PLATFORM, ITS CONTENT OR SUCH SERVICES OR PRODUCTS WILL BE CORRECTED; (D) ANY WARRANTIES OF TITLE OR IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE; (E) ANY WARRANTIES THAT THE PLATFORM WILL BE COMPATIBLE WITH YOUR COMPUTER OR OTHER ELECTRONIC EQUIPMENT; AND (F) ANY WARRANTIES OF NON-INFRINGEMENT. THE MATERIALS AND RELATED GRAPHICS PUBLISHED ON THE PLATFORM COULD INCLUDE TECHNICAL INACCURACIES OR TYPOGRAPHICAL ERRORS. CHANGES ARE PERIODICALLY ADDED TO THE INFORMATION CONTAINED ON THE PLATFORM. THE q101.org PARTIES MAY MAKE IMPROVEMENTS AND/OR CHANGES TO THE PLATFORM, ITS PRODUCTS, SERVICES AND/OR THE MATERIALS DESCRIBED ON THE PLATFORM AT ANY TIME.

8.4. q101.org DOES NOT GUARANTEE THAT THE PLATFORM OR ANY PART OF IT WILL ALWAYS BE AVAILABLE OR UNINTERRUPTED. ACCESS MAY BE SUSPENDED OR RESTRICTED DUE TO MAINTENANCE, UPDATES, OR OTHER OPERATIONAL REASONS. WE MAY CHANGE OR DISCONTINUE ANY FEATURE WITHOUT NOTICE.

8.5. ENGAGING WITH DIGITAL ASSETS AND BLOCKCHAIN PROTOCOLS INVOLVES SIGNIFICANT RISKS, INCLUDING BUT NOT LIMITED TO PRICE VOLATILITY, LOSS OF VALUE, TECHNOLOGICAL FAILURES, AND REGULATORY UNCERTAINTY. DIGITAL ASSETS ARE SPECULATIVE AND MAY LOSE THEIR ENTIRE VALUE. YOU ACKNOWLEDGE AND ACCEPT THAT q101.org IS NOT LIABLE FOR ANY FINANCIAL LOSSES, LOSS OF ACCESS OR OTHER DAMAGES RESULTING FROM YOUR USE OF OR RELIANCE ON DIGITAL ASSETS OR RELATED PROTOCOLS. YOU ASSUME FULL RESPONSIBILITY FOR YOUR DECISIONS AND INTERACTIONS WITH THE PLATFORM AND THE UNDERLYING TECHNOLOGIES.

9. Limitation of Liability

9.1. To the fullest extent permitted by law, q101.org is not liable for any indirect, incidental, or consequential damages, including loss of funds, data, or opportunities, or for decisions made based on content or interactions on the Platform.

9.2. We are not liable for indirect or consequential damages or for loss of funds arising from your use of the Platform, except where prohibited by law.

9.3. To the maximum extent permitted by law, q101.org's total aggregate liability to you for any claims, losses, or damages arising out of or related to your use of the Platform—regardless of the cause of action or theory of liability—will not exceed one hundred dollars ($100 USD). This limitation reflects the fact that q101.org is a free, non-custodial platform, does not hold user funds or provide financial services, and must allocate its resources toward platform development and security rather than absorbing user risk. By using the Platform, you acknowledge and agree that this limitation is reasonable and forms an essential basis of the bargain between you and q101.org.

10. Indemnification

10.1. You agree to indemnify and hold harmless us and our respective past, present and future employees, officers, directors, contractors, consultants, equity holders, suppliers, vendors, service providers, parent companies, subsidiaries, affiliates, agents, representatives, predecessors, successors and assigns (collectively, the "q101.org Parties") from and against all claims, damages, liabilities, losses, costs and expenses that arise from or relate to: (i) your access to or use of our Platform, products or services; (ii) your User Content; (iii) any Feedback you provide; or (iv) your violation of these Terms.

10.2. This indemnity includes any legal fees and expenses incurred by q101.org in connection with any claim or investigation. q101.org may assume control of the defense of any matter subject to indemnification at your expense.

11. Force Majeure

11.1. q101.org is not liable for any delay or failure caused by circumstances beyond our control, including blockchain network failures, natural disasters, internet outages, or regulatory restrictions.

11.2. Other such events include but are not limited to war, civil unrest, cyberattacks, power failures, or actions by third-party service providers that impact the Platform's availability.

12. Fees

12.1. Certain features or interactions available through the Platform may be subject to fees. These may include per-interaction or usage-based fees related to services provided by q101.org. The applicable Fees will be disclosed to you at the time you engage with a feature that incurs a charge.

12.2. If you choose to use third-party services in connection with the Platform - such as fiat onramps, payment cards, or settlement services—those services may be provided by independent, regulated Payment Service Providers. You may be required to accept separate terms to access these services. q101.org is not responsible for your use of such services, and any fees, processing charges, or verification steps associated with them are determined by the relevant third parties.

12.3 q101.org does not charge hidden fees, and we will never withdraw or transfer assets from your wallet without your explicit consent.

12.4. From time to time, q101.org may make available promotional incentives, airdrops, discounts, or other offers ("Promotions") to eligible users. Participation in Promotions is subject to any additional terms made available at the time, and q101.org reserves the right to modify or discontinue any Promotion at any time at its discretion without advance notice.

13. Changes to the Terms

13.1. We may update these Terms from time to time to reflect new features, changes in law, or shifts in our business model.

13.2. We will notify you of material changes. Continued use of the Platform after changes means you accept the revised Terms.

14. Governing Law

14.1. These Terms are governed by and construed in accordance with the laws of the British Virgin Islands (BVI), without regard to conflict of laws principles.

14.2. Any dispute, controversy, or claim arising out of or in connection with these Terms or your use of the Platform shall resolve through confidential arbitration conducted in English by a single independent arbitrator in accordance with the BVI IAC Arbitration Rules. The seat of arbitration will be the British Virgin Islands, unless the Parties agree otherwise.

14.3. q101.org may, at its discretion, seek injunctive or equitable relief in any competent jurisdiction to prevent actual or threatened misuse, fraud, or unauthorized access affecting its services or intellectual property.

14.4. If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in full force and effect.

15. Complaints and Contact

15.1. If you have a complaint or concern regarding the Platform, you must contact us at support@q101.org with a clear explanation and supporting details. We aim to respond within 48 business hours, though timelines may vary depending on the nature of the issue.

15.2. q101.org may request additional information to verify the origin and content of a complaint and is not obligated to respond to submissions that are abusive, repetitive, unfounded, or submitted in bad faith.

15.3. You acknowledge that q101.org is not liable for any delays in response or dissatisfaction with the resolution of a complaint, except where required under applicable law.

16. Data Protection

16.1. We collect only limited personal data necessary to provide access to and operate the Platform — such as your email address when you register or log in. Any additional data you choose to share with q101.org (e.g., for Promotion, support or communication purposes) will be handled in accordance with this Privacy Notice. 16.2. You acknowledge that your use of decentralized protocols and blockchain technologies may result in certain metadata being stored immutably and publicly. q101.org does not control how this data is recorded or used, nor does q101.org share in any liability arising from the public use of this data.

16.3. q101.org does not sell your data to third parties.

17. Assignment

17.1. q101.org may assign or transfer these Terms, in whole or in part, to another entity in connection with a merger, acquisition, or sale of assets, with or without notice to you. You may not assign your rights or obligations to any third part(ies) under these Terms without our prior written consent.

18. Entire Agreement; No Waiver

18.1. These Terms constitute the entire agreement between you and q101.org relating to the use of the Platform. Any failure by q101.org to enforce a provision of these Terms is not a waiver of its right to do so later.
